KEMIN TRUST

KEMIN TRUST will be the fiduciary and contractual platform designed to institutionalize and administer international Operating Leasing agreements signed by KEMIN with its clients and associates, integrating Amicorp Group’s global capabilities in fiduciary administration, escrow, contract management, compliance and financial structuring.

KEMIN will directly maintain the commercial, technological and operational relationship with each client, while KEMIN TRUST will centralize and segregate the administration of advances, periodic payments, guarantees and economic rights associated with each project.

The structure envisages the designated Amicorp entity acting, subject to definitive documentation and applicable approval, as Trustee and administrator, managing trust or escrow accounts, KYC/AML processes, fund release conditions and payment waterfalls.

This will provide greater traceability, transparency, control and financial security, while creating a scalable platform for future project finance, receivables financing, private credit or securitization mechanisms.

This relationship is supported by the formal authorization granted by Amicorp Group to Diego Burneo-Aguirre, President of KEMIN S.A.S., to promote and represent Amicorp in Ecuador and other countries in the Region, as well as to participate in project structuring under applicable terms and regulations.
